The purpose of the Democratic Club of Wall Township is to encourage community awareness and promote the ideals of the Democratic Party. The Democratic Club of Wall Township shall be considered an on-going political organization, raising funds and organizing volunteers to offer support to Democratic candidates and their campaigns. BYLAWSARTICLE I Section 1 Section 2 Only members who have paid due for the current membership year may participate in the business of the association. Section 4 Bylaws of each constituent organization shall include a provision establishing a quorum.
ARTICLE II Section 1 Only active members shall hold office serve on standing committees. Section 3 Life members shall be those upon whom this honor has been conferred in recognition of service and voted by current officers. Section 4 Each member shall pay annual dues to said organization of $5.00 (five). Annual dues are good from January 1st thru December 31st.
ARTICLE III OFFICERS AND THEIR ELECTIONS NOMINATIONS Section 1A - Only those individuals who have bee a member in good standing for 15 days shall be eligible for nomination, either by committee or from the floor. B - The officers of the association shall consist of a President, Vice President, Recording Secretary, Corresponding Secretary, Treasurer, and a Sgt. At Arms. C - There shall be a nominating committee composed of five (5) members who shall be elected by the association at a regular meeting in the month of November of that year. D - One alternate to the nomination committee shall be elected in the same manner. E - The first member elected shall call the committee together and the committee shall elect its own chairperson. F - Only persons who have signified their consent in writing, shall be eligible to be nominated to such an office, either by committee or from the floor. G - Following the final report of the nominating committee at the pre election meeting held in the first week of December (month) an opportunity shall be given for nominations from the floor. H - Nominating committee members can be considered for office, they should not be penalized from this process by serving on the nominating committee/ ELECTIONS Section 2 A - The officers of this association shall be elected by ballot, e-mail or by mail in January (month) of regular meeting. However, if there is but on nominee for each office, the election can be by voice vote. B - Officers shall serve one (1) year or until successors are elected. C - No person, shall serve more than two (2) consecutive terms in the same office. An officer having served more than one half of a term shall be credited with serving the complete term. D - A majority vote shall elect. E - Officers shall assure their official duties at the close of special meeting in the end of January (month) to be determined by election committee. VACANCY Section 3 Seven (7) days notice of such an election shall be given by the Secretary. If there is more than one candidate for office the vote should be by ballot.
ARTICLE IV DUTIES OF OFFICERS Section 1The President shall preside at all meetings of the association and of the executive committee/board; shall perform such other duties as may be prescribed in these by-laws or assigned to him/her by the association or by the executive committee/board; and shall coordinate the work of the officers and committees of the association in order that the objects may be promoted. Section 2 The Vice President shall act as aide to the President and shall in their designed order perform the duties of the President in the absence or inability of the officer to serve. Section 3 The Recording Secretary shall record the minuets of all meetings of the association and of the executive committee/board, shall have a copy of the approved by-laws, and a membership list available at every meeting, and shall perform such other duties as may be delegated to him/her. Immediately following the election meeting. The Recording Secretary shall send a list of officers for the ensuing year to all members. Section 4 The Corresponding Secretary shall conduct the general correspondence of the association as directed by the President, Officers/Executive Committee/Board or the association. Section 5 A - The Treasurer shall have custody of all funds of the association; shall keep an accurate record of receipts and expenditures; shall pay out of local funds in accordance with the approved budget as authorized by the association. B - The Treasurer shall be responsible for the maintenance of such book of accounts and records. C - The Treasurer shall make disbursements as authorized by the President, Executive Committee/Board, or association in accordance with the budget adopted by the association. D - The Treasurer shall have checks and / or vouchers signed by two of three persons; the President and the Treasurer, and or the Recording Secretary. E - The Treasurer shall keep the record of the membership dues separate from the record of the general funds of the local association. F - The Treasurer shall be responsible for filing in a timely manner all financial reports required by the New Jersey State Election Law Commission G - The Treasurer shall present a financial statement of accounts at every meeting of the association and at other times when requested by the Executive Committee/Board and shall make a full report at the annual meeting. Section 6The Sgt. At Arms shall be responsible for maintaining order during all regular business meeting and shall act as an official greeter at all meetings an gatherings of the association. Section 7 All officers shall deliver to their successors all official material not later than ten (10) days after elections.
ARTICLE V Executive Committee of officers will be in effect if needed after December 31, 2000. At which time their duties will be put into effect by elected officers and added to the by-laws.
ARTICLE VI MEETINGS Section 1General meetings will be open to the public. Section 2 Twelve(12) general meetings of this association shall be held during the year. Dates of the meetings shall be determined by the Executive Board/Offices and announced at the first general membership meeting of the year. Section 3 Seven (7) days notice shall be given of a change of sate of general meetings. Section 4 Quorum for membership meetings should consist of at least eight (8) members.
ARTICLE VII STANDING COMMITTEES AND SPECIAL COMMITTEES Section 1Only members of the association shall be eligible to serve as chairperson. Section 2 Such standing committees shall be created by the Executive Committee as may be required to promote the objects and interests of the association. Section 3 The Chairperson of all standing committees shall present plans of work to the Executive Board/Offices for approval and no committee work shall be undertaken without the approval of the Executive Board/Officers. Section 4 Special committees shall be approved by the President and Executive Board/Officers of the association as deemed necessary to carry on the work of the association. Section 5 Since a special committee is created and approved for a special purpose, it automatically goes out of existence when its work is done and its final report is received. Section 6 The President shall be an executive officer member of all committees except the nominating committee.
ARTICLE VIII AMENDMENTS These by-laws may be amended at any regular meeting of the association by a two-thirds (2/3) vote of the members present and voting, providing that notice of the proposed amendment shall have been given at least twenty-five (25) days prior to the meeting at which action is to be taken. |
